How payment providers participate in your account services. The terms below apply to the service you select and the account details supplied with it.
Definitions and interpretation #
| Term | Meaning |
|---|---|
| Platform | Idealx Platform Pty Ltd, ACN 694 912 126, ABN 83 694 912 126. “Idealx”, “we” and “us” refer to Platform for its services unless this document expressly identifies a different provider. |
| Client | the individual or legal entity identified as the account holder in the accepted application, including each trustee in its recorded capacity. “You” and “your” refer to that Client, except where this document expressly addresses an individual Console user or Firm. |
| Account | the service record and balances maintained for the identified legal Client. A platform account, ledger entry or allocated payment identifier is not by itself a bank deposit account in the Client’s name. |
| Service Particulars | the account-specific details, provider disclosures and confirmations supplied for the selected service and linked to the accepted terms. A required detail must be supplied before the relevant service begins. |
| Debit User | Zai Australia Pty Ltd, ABN 96 637 632 645, Debit User ID 342203, for the BECS Direct Debit Request in this document. “We” and “us” in Part B mean that Debit User. |
| BECS | the Bulk Electronic Clearing System used for the direct-debit arrangement. It is distinct from a PayTo mandate. |
| ADI | an Australian authorised deposit-taking institution. Idealx Platform is not an ADI, and the involvement of an ADI does not itself guarantee an Idealx balance. |
| BSB | the bank-state-branch identifier used with an account number for Australian payments. Allocated payment details do not by themselves prove ownership of a separate bank deposit. |
A specific meaning or rule in the relevant service clause prevails over a general definition. References to an accepted schedule or record mean the version supplied for that service, not an undisclosed internal policy. Mandatory legal rights and obligations are not displaced by these definitions.
1 Your payment service #
Idealx Platform Pty Ltd provides the Idealx interface and the platform services described in the Client Services Agreement. Idealx is not a bank. Your activated Service Particulars identify the payment facility, provider, holding arrangement and terms that apply to you.
For the initial Zai-supported facility, payment services are provided by Zai Australia Pty Ltd, ABN 96 637 632 645. Where those services require a direct agreement with you, the applicable Zai End User Agreement is supplied before activation and forms a separate contract for those services. Idealx’s own obligations remain governed by its agreement with you and applicable law.
The provider documents supplied with the service record are the applicable versions of the End User Agreement and Privacy Policy, together with any product-specific disclosure or payment-rail terms required for the facility. Current public document locations are https://www.hellozai.com/company/policies/end-user-agreement and https://www.hellozai.com/company/policies/privacy-policy. The accepted record identifies the versions supplied; a changing web link is not the only record of your terms.
Allocated BSB and account details identify where payments are to be sent and credited in the payment system. They do not alone establish a separate bank deposit in your name. Your Service Particulars explain the actual legal holder, your entitlement and any applicable protection. A payment provider's sponsoring bank is not automatically your contractual payment provider or a guarantor of your Idealx balance.
2 Direct debit and other payment rails #
For the current BECS direct-debit arrangement, the Debit User is Zai Australia Pty Ltd, User ID 342203. A separate electronic Request and Service Agreement identifies your nominated external account and debit authority. Neither an Idealx registration checkbox nor a general Console appointment replaces that authority.
The provider, its sponsoring institution or payment rails may appear on statements, payment descriptors, bank verification screens, dispute records or scheme notices. Idealx branding does not guarantee that a provider's identity will be absent from those records.
Additional rails, including PayTo or BPAY if offered, have their own applicable terms and approval steps. No such service or mandate is activated merely because direct debit is available.
3 Personal information #
Zai may receive identity, account and transaction information from Idealx and relevant financial institutions to supply payment services, verify identity, prevent fraud and comply with law. Without required information, the payment service may be unavailable. Its privacy policy explains its access, correction, complaint and other handling practices. Service providers may handle information overseas as disclosed in the applicable policy and collection notices. Idealx’s Privacy Policy separately governs its own handling.
4 Multiple providers and changes #
Idealx may use more than one authorised payment provider or financial institution by service, currency or route. You are not promised permanent use of a named provider. Routine technical routing within your accepted instructions does not require reaccepting unchanged platform terms. A change affecting your legal provider, account structure, debit authority, material risks, fees or access is subject to applicable notice, migration and consent requirements. Required replacement-provider documents are supplied before the changed service applies.
Only the disclosed customer terms and charges apply to your payment service. Any change to those terms follows the applicable notice and consent requirements.
