Authority and service terms for debits from an external bank account. The terms below apply to the service you select and the account details supplied with it.

Definitions and interpretation #

Clientthe individual or legal entity identified as the account holder in the accepted application, including each trustee in its recorded capacity. “You” and “your” refer to that Client, except where this document expressly addresses an individual Console user or Firm.
Debit UserZai Australia Pty Ltd, ABN 96 637 632 645, Debit User ID 342203, for the BECS Direct Debit Request in this document. “We” and “us” in Part B mean that Debit User.
Requestthe accepted Direct Debit Request identifying the nominated external account, authorisers and permitted debit instructions. It is separate from ordinary account registration.
BECSthe Bulk Electronic Clearing System used for the direct-debit arrangement. It is distinct from a PayTo mandate.
Authorised Persona person whose identity, signing capacity and permissions have been verified for the relevant Client or Firm. Authority is limited to the accounts and actions recorded for that person.
Acceptance Recordthe retained electronic record of the terms and particulars presented, approving person and capacity, affirmative action and time, together with the provider’s activation confirmation where required.
BSBthe bank-state-branch identifier used with an account number for Australian payments. Allocated payment details do not by themselves prove ownership of a separate bank deposit.

A specific meaning or rule in the relevant service clause prevails over a general definition. References to an accepted schedule or record mean the version supplied for that service, not an undisclosed internal policy. Mandatory legal rights and obligations are not displaced by these definitions.

Customer and nominated account #

Your completed Direct Debit Request identifies the legal customer and signing capacity, the authorised signers, contact details and nominated notice channel. For a trust or company it records the relevant legal account holder, rather than treating a representative’s personal login as ownership of the account.

The nominated account is the financial institution, account name, BSB and account number shown for your approval before you authorise the Request. All approvals required by the account’s operating rules must be obtained. Idealx retains the complete protected record; routine correspondence may show masked account details.

Request and authority #

You request and authorise Zai Australia Pty Ltd (Zai), ABN 96 637 632 645, Debit User ID 342203, as agent for Idealx Platform Pty Ltd, to arrange debits to the nominated account through its financial institution and the Bulk Electronic Clearing System (BECS), in accordance with this Request and Part B.

The amount and debit date are those specified in each valid funding instruction you submit through Idealx and confirm before submission. This authority does not permit Idealx to determine any amount at its unrestricted discretion. Unless a separate recurring debit schedule is expressly completed and accepted, this is authority for individually instructed funding debits, not an automatic sweep or recurring collection.

If a recurring schedule is separately offered, the accepted record must state the amount or determinable calculation, frequency, first debit date, end date or cancellation basis and any applicable maximum. An uncompleted schedule grants no recurring authority. A firm may issue a funding instruction only where your effective account mandate expressly permits it and the bank authority allows it. This Request does not authorise a firm to approve its own fees or expand its own access.

Electronic authorisation #

By actively selecting Authorise direct debit after reviewing the completed Request and Part B, you confirm that the account information is correct, you have authority for this Request in the stated capacity, and all approvals required by the account's operating rules have been obtained. You agree to this Request and Part B. If two or more approvals are required, no debit authority activates until each required person has approved through the supported process. No paper signature is required.

You agree to receive confirmations and notices electronically at your selected verified contact, subject to any mandatory alternative rights. You may download the accepted Request and Service Agreement. Registration, a staff invitation or entering bank details without this affirmative authorisation does not create a debit authority.

Electronic record #

The acceptance record contains: Request identifier; customer and account identity; each authoriser's identity, capacity and authentication reference; exact Request and Service Agreement versions; accepted debit basis and any limits; approval timestamps and time zone; provider activation status; copy-delivery record; and later changes, suspension or cancellation. A second signatory has a separate linked approval record. Status is Pending until the required approvals and provider checks are complete.

Part B Direct Debit Request Service Agreement #

This agreement is with Zai Australia Pty Ltd, ABN 96 637 632 645, Debit User ID 342203, as agent for Idealx Platform Pty Ltd. It explains the debit arrangement, cancellation and dispute process. Keep it with your completed Request. In this Part, we and us mean Zai as Debit User; Idealx means Idealx Platform Pty Ltd. Your financial institution is the institution holding your nominated external account.

1 Debiting your account #

1.1 Your Request authorises us to arrange debits only within its recorded scope. Idealx provides the software that collects valid instructions and sends them to us for processing. The Request and this agreement govern the arrangement.

1.2 We will arrange only authorised debits. Each funding confirmation or accepted recurring schedule identifies the amount or calculation and debit date. A pending or provisional credit in Idealx is not a guarantee of final settlement; failed or reversed funding is handled under the applicable account terms and law.

1.3 For this direct-debit agreement, banking day means a day other than Saturday, Sunday or a public holiday listed throughout Australia. If the due date is not a banking day, the debit may occur on the following banking day. Ask your financial institution if you are uncertain when a debit will occur. This definition is specific to this agreement and does not replace a cash-withdrawal deadline in another service.

2 Changes by us #

2.1 We may vary this agreement or debit arrangements for legitimate service, operational or legal reasons by giving at least 30 days' written notice to your nominated contact, or a longer period where required. Changes are prospective and do not enlarge the debit authority beyond what may lawfully be varied by notice. You may cancel before a change takes effect. Any additional authority required by law, the banking arrangements or the nature of the change must first be obtained.

2.2 Idealx may use other payment providers in future. This does not automatically substitute another Debit User into this Request. Any migration must follow the applicable provider and payment-scheme requirements, including notices or fresh authority where required. Until validly changed, the Debit User is the one named here.

3 Changes or cancellation by you #

3.1 You may request cancellation or suspension of this Request, or change, stop or defer an individual debit, through Idealx or directly with us. Please give at least five days' notice where possible so that a scheduled payment can be stopped before processing. We will act promptly on a cancellation or stop instruction; this notice request does not prevent you contacting your financial institution directly or postpone rights requiring prompt action. Already processed debits may need the dispute or refund process.

3.2 Use the authenticated Idealx direct-debit settings or support@idealx.com. You may also contact Zai at helpdesk@hellozai.com, identifying Idealx and your Request, or write to Zai Australia Pty Ltd, Attention: Idealx Platform Support Team, The Commons, Level 1, 55 Collins Street, Melbourne VIC 3000, Australia. Do not send passwords or unmasked account details in ordinary email.

3.3 You may contact your own financial institution directly; it must act promptly on your instructions under the applicable rules. Cancelling this debit authority does not cancel an independently existing lawful debt, but does stop further debits to the extent required. Alternative payment can be arranged separately. A disputed debit does not require you first to resolve a platform dispute before approaching your bank.

4 Your responsibilities #

4.1 Keep enough cleared funds for each authorised debit, check your statements and notify suspected errors promptly. Verify that your account supports direct debit and that the details match your bank record. Contact your bank if unsure.

4.2 If a debit fails for insufficient funds, your financial institution may impose its own fee or interest. No separate Idealx dishonour or retry fee is imposed under the current Idealx Fee Schedule. Any Debit User charge must have a disclosed lawful contractual basis; this agreement creates no unspecified fee. Arrange an alternative payment or a new agreed processing date; no unlimited retry authority is created.

4.3 A company or trustee account must be identified in that capacity. An applicant identified solely as an individual must not nominate a company's or trust's account as though it were their personal account. For joint or multi-signature accounts, all authority required by the financial institution must be obtained. If the supported process cannot capture that authority, the account must not be used for this Request.

5 Errors and disputes #

5.1 Report an apparent debit error to Idealx at support@idealx.com or complains@idealx.com, to Zai at helpdesk@hellozai.com or its address in clause 3.2, or directly to your financial institution. Supply the debit date, amount and Request reference where available. These channels are alternatives, not mandatory sequential steps.

5.2 We will investigate. If the account was incorrectly debited, we will arrange the appropriate account adjustment, including applicable interest and charges, within a reasonable period and notify you in writing. If our investigation finds no error, we will explain our reasons and supporting evidence in writing. Mandatory rights, applicable response deadlines and external complaint rights remain unaffected.

6 Information handling #

6.1 We will take reasonable steps to keep Request and account information secure and confidential, restricting access and unauthorised use, modification or disclosure. We may disclose it where required by law or needed to carry out this agreement, including processing debits and investigating queries or claims. The relevant privacy notices explain the handling of personal information.

6.2 This Request is not consent to unrelated marketing, general AI model training or disclosure for an unrelated purpose. Necessary debit records may be retained for the applicable legal and payment-scheme periods after cancellation, with continuing protection.

7 Notices and copies #

7.1 Contact us using clause 3.2 or contact Idealx at notices@idealx.com for contractual notices to Idealx. We use your nominated written contact and you should keep it current. Electronic notices must be accessible; a known failed delivery will not be treated as successful delivery merely because it was sent. Mandatory service and notice rules prevail.

7.2 A confirmation and a durable electronic copy of the completed Request and this agreement will be supplied promptly and within seven days after the Request is established. You may request another copy. Changes and cancellations are recorded and confirmed through the agreed channel.

8 Relationship to other terms #

8.1 This agreement governs the external account debit mechanism. It does not itself open a deposit account, guarantee funds, authorise investing, or replace the Client Services Agreement and relevant provider terms for what happens after receipt. It is not a PayTo mandate. A PayTo service needs its own applicable bank and provider authorisation process.

8.2 Mandatory Australian law and payment-scheme rights prevail. No term excludes liability or remedies that cannot lawfully be excluded. An Idealx branding or shareholder change does not replace the legal Debit User or change your nominated bank authority.
